General Terms and Conditions (GTC) of VIDA SUISSE GmbH
1) Scope of Application
1.1 These General Terms and Conditions ("GTC") of VIDA SUISSE GmbH ("Seller") apply to all contracts for the sale and delivery of goods concluded between a consumer or business customer ("Customer") and the Seller via its online shop.
1.2 Deviating terms and conditions of the Customer shall only apply if expressly approved in writing by the Seller.
1.3 A consumer is any natural person who enters into a legal transaction for purposes that are not predominantly commercial or self-employed.
1.4 A business customer is a natural or legal person or a partnership with legal capacity acting in the course of a commercial or self-employed professional activity.
1.5 The contract may cover both one-time deliveries and recurring deliveries as part of a subscription.
2) Conclusion of Contract
2.1 The products presented in the online shop do not constitute a legally binding offer but rather an invitation to place an order.
2.2 By submitting an order, the Customer makes a binding offer to conclude a contract. The contract is concluded through express acceptance, shipment of goods, or payment request by the Seller.
2.3 The Seller may accept the offer within 5 days. If the Seller does not accept the offer within this period, it is deemed rejected.
2.4 The contract text is saved and sent to the Customer in written form. For registered users, it is accessible via the customer account.
3) Right of Withdrawal
3.1 Consumers have a statutory right of withdrawal pursuant to Art. 40a et seq. CO, provided the legal requirements are met.
3.2 The right of withdrawal is excluded for custom-made products or sealed goods if the seal has been broken.
4) Prices and Payment Terms
4.1 All prices are in CHF and include VAT. Shipping costs are shown separately.
4.2 Available payment methods are listed in the online shop. Prepayment, credit card, TWINT, or third-party payment services (e.g., Stripe, PayPal) are accepted.
4.3 Payments are due upon conclusion of the contract. In case of default, the Seller is entitled to charge reminder fees and default interest in accordance with Art. 104 CO.
5) Delivery and Shipping Conditions
5.1 Delivery is made to the address provided by the Customer. Partial deliveries are permissible if reasonable for the Customer.
5.2 Delivery times are non-binding estimates. Customers will be informed in case of delays.
5.3 The risk transfers to the Customer upon handover to the carrier (for consumers only upon receipt of goods).
5.4 If delivery fails due to Customer's fault, the resulting costs shall be borne by the Customer.
6) Contract Duration and Termination for Subscriptions
6.1 Subscriptions may be cancelled by the Customer at any time at the end of the current delivery cycle.
6.2 The right to extraordinary termination remains unaffected (e.g., in case of significant breach of contract).
7) Retention of Title
Goods remain the property of VIDA SUISSE GmbH until full payment has been received.
8) Warranty
8.1 Statutory warranty provisions pursuant to Art. 197 et seq. CO apply. Defects must be reported in writing within 7 days of receiving the goods.
8.2 Business customers must report defects immediately upon discovery. Failure to do so constitutes acceptance of the goods.
9) Promotional Vouchers
9.1 Promotional vouchers are only valid within the specified period and are non-transferable.
9.2 Cash payout is excluded. Remaining balances expire.
10) Gift Vouchers
10.1 Gift vouchers can be redeemed for all products available in the online shop.
10.2 They are valid for three years from the date of issue and are transferable.
11) Applicable Law
Swiss law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only to the extent that it does not conflict with mandatory consumer protection provisions of their country of residence.
12) Jurisdiction
Jurisdiction is the registered office of VIDA SUISSE GmbH in Zurich, unless mandatory legal provisions provide otherwise.
13) Code of Conduct
VIDA SUISSE GmbH is committed to fair and transparent business practices and adheres to the standards of Swiss consumer protection.
14) Alternative Dispute Resolution
The Seller is not obliged to participate in alternative dispute resolution proceedings and currently does not offer such a platform.
